User Agreement#

1. Acceptance of Terms#

Welcome to the ToolkitFun tool (hereinafter referred to as “the Tool”). The Tool is developed and operated by the ToolkitFun Development Team (hereinafter referred to as “we”). The following terms and conditions (hereinafter referred to as “this Agreement”) constitute a legal agreement between you and the Tool regarding the use of the Tool’s services. Before using the Tool, please carefully read the entire content of this Agreement. By using the Tool, you agree to and accept all the terms of this Agreement.

2. Service Content#

2.1. The Tool provides you with the following services (hereinafter referred to as “Services”):

  • Basic Functions: Including but not limited to information search, data analysis, online collaboration, etc.;
  • Additional Services: Depending on your needs, we may provide additional services, which will be determined by the actual services offered. 2.2. We reserve the right to modify, suspend, or terminate the Services at any time without any liability to you.

3. Account Registration and Use#

3.1. You must register an account with the Tool to use the Services. During registration, you should provide true, accurate, and complete personal information and properly safeguard your account and password. 3.2. You shall not transfer, lease, or lend your account to others for use. If we find any violations associated with your account, we have the right to suspend or terminate your account use. 3.3. You shall be legally responsible for all actions taken under your account. If your actions cause losses to the Tool or a third party, you shall bear full responsibility.

4. User Conduct Regulations#

4.1. When using the Tool, you should comply with the following regulations:

  • Obey national laws and regulations and not use the Tool for illegal activities;
  • Do not upload, post, or disseminate any illegal, infringing, harmful, false, or harassing content;
  • Do not use the Tool for unfair competition or to infringe upon the legitimate rights and interests of others;
  • Do not infringe upon the intellectual property rights and other legitimate rights of the Tool. 4.2. If you violate the above regulations, we have the right to suspend or terminate your account use and reserve the right to pursue legal responsibilities.

5. Intellectual Property Rights#

5.1. The intellectual property rights of the Tool (including but not limited to trademarks, patents, copyrights) are owned by us. Without our written permission, you may not use, copy, disseminate, modify, lease, lend, or transfer the aforementioned intellectual property rights. 5.2. The intellectual property rights of the content generated by you when using the Tool are owned by you. However, you grant us the free, non-exclusive right to use, copy, disseminate, modify, and display your content to provide, promote, and optimize the Tool’s services.

6. Disclaimer#

6.1. The Tool is provided “as is,” and we do not warrant the stability, security, accuracy, timeliness, or effectiveness of the Services in any express or implied manner. 6.2. Under no circumstances shall we be liable for:

  • Any direct, indirect, accidental, special, or consequential losses arising from your use of the Tool;
  • Losses resulting from the compatibility issues of third-party services or software with the Tool;
  • Losses resulting from force majeure factors.

7. Agreement Changes and Termination#

7.1. We have the right to modify this Agreement at any time. The revised Agreement will be published in the Tool and shall take effect from the date of publication. 7.2. This Agreement shall automatically terminate in the following circumstances:

  • You voluntarily cancel your account;
  • You violate this Agreement, and we terminate your account use;
  • The Tool ceases operations.

8. Applicable Law and Dispute Resolution#

8.1. The conclusion, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People’s Republic of China. 8.2. In the event of a dispute, the parties shall resolve the dispute through friendly consultations; if the consultations fail, either party may file a lawsuit with the people’s court having jurisdiction over us.

9. Miscellaneous Provisions#

9.1. In the event of any conflict between the terms of this Agreement and national laws and regulations, the national laws and regulations shall prevail. 9.2. The invalidity of any clause in this Agreement for any reason shall not affect the validity of the other clauses. 9.3. The final interpretation of this Agreement shall be reserved by us.
